By accessing or using Tealdroid AI or Danny Policy Management (each a “Service”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, do not use the Service.

You must be at least 18 years old and authorized to act on behalf of your organization to use the Service.

You agree to use the Service only for lawful purposes and in accordance with applicable laws and your organization’s policies. You will not attempt to disrupt, overload, reverse engineer, or misuse the Service.

Tealdroid AI is designed to process SharePoint content within your Microsoft 365 tenant. We do not collect or store your organization’s document content or personal data. Danny Policy Management stores the records it needs to track policy acknowledgement (such as users, assignments and acknowledgements) in a dedicated database for your organization, and never stores or modifies your policy documents. For details, see our Privacy Policy at /privacy.

Tealdroid AI is distributed via Microsoft AppSource. All subscriptions, billing, invoicing, renewals, cancellations, and associated account management are handled directly by Microsoft. For those aspects, Microsoft’s terms and privacy policy apply. Danny Policy Management subscriptions are arranged directly with Tealdroid, and the subscription terms agreed with your organization apply.

Refund and cancellation policies are governed by Microsoft AppSource. Please refer to Microsoft’s AppSource terms and processes for eligibility and instructions. For Danny Policy Management, refunds and cancellations follow the subscription terms agreed with Tealdroid.

The Service, including software, documentation, brand assets, and all related intellectual property rights, are owned by Tealdroid or its licensors. No rights are granted except as expressly set out in these Terms.

The Service may rely on Microsoft 365/SharePoint and Microsoft Azure services. Your use of those platforms is subject to Microsoft’s terms and policies.

We strive to provide a reliable and highly available service. While we work hard to minimize disruptions, occasional interruptions or errors may occur due to factors beyond our control. In such cases, we aim to resolve issues promptly. We may also enhance, update, or adjust features from time to time to improve reliability, security, and compliance.

We may suspend or terminate access if you breach these Terms, misuse the Service, or where required by law or platform policy. Termination does not affect provisions that by nature should survive (e.g., IP, liability limits).

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEALDROID AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT PAID FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (IF ANY), EXCLUDING AMOUNTS PAID TO MICROSOFT FOR MARKETPLACE FEES.

You agree to defend, indemnify, and hold harmless Tealdroid from claims arising out of your misuse of the Service or violation of these Terms.

These Terms are governed by the laws of India, without regard to conflict of law principles. Courts located in India shall have exclusive jurisdiction, unless local law requires otherwise.

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Your continued use of the Service constitutes acceptance of the revised Terms.
